A Fixed Date Claim Form filed in the Commercial Division of the High Court of Justice of the British Virgin Islands asks the court to void the dissolution of SpringChild Investments Ltd and restore the company to the Register of Companies. The claimant is Alice Ojochide Onyema, a former director of the company. The defendant is the Registrar of Corporate Affairs. The claim is numbered BVIHCOM2026/0038. The claim form was exclusively obtained by SecretsReporters.

Alice Ojochide Onyema, née Ejembi, is the wife of Allen Onyema, the founder and chairman of Air Peace. She is the Vice Chairman of the airline, a position recorded in an Air Peace corporate statement of March 2026 and reported by The Sun Nigeria in April 2026.

The company behind the first aircraft of Air Peace

In 2013, aviation trade publications documented SpringChild Investments as the British Virgin Islands vehicle that acquired the first aircraft of Air Peace, Dornier 328 aircraft, and launched the airline. Allen Onyema has stated in his own words, in an interview published by City People on 9 April 2017, that he named a Boeing 777 of Air Peace, registration 5N-BUU, Ojochide, after his wife. SpringChild Investments Ltd is not Springfield Aviation Company LLC of Georgia, the separate company named in the criminal case against Allen Onyema in the United States.

What the claim asks the court to grant

The claim is brought under section 218 of the BVI Business Companies Act, 2004, as amended. It asks the court to declare that the dissolution of the company on 31 October 2021 is void and of no effect, so that the company is deemed to have continued in existence since its incorporation on 2 April 2012. The company bears Business No. 1704968.

It further asks that, upon the filing of a sealed copy of the order of the court and the payment of all fees and penalties due and payable to the Registrar of Corporate Affairs, the Registrar shall restore the name of the company to the Register and issue a Certificate of Restoration to the company in the approved form.

It asks that any property which belonged to the company and was not disposed of on the date of the dissolution, and any property which was received for and on behalf of the company after its dissolution date and was vested in the Crown, be returned and vested in the company upon its restoration to the Register of Companies.

The form also asks for such further or other relief as the court deems just, and it asks that the costs of the proceedings be awarded to the Defendant.

The claim form is dated 28 November 2025 and is signed for the claimant by Reynela Solomon of Affirm Law, legal practitioners for the claimant, of Omar Hodge Building, Road Town, Tortola. Alice Ojochide Onyema signed the certificate of truth on the form, certifying that she believes the facts stated in the claim form are true.

The stamp of the court on the form records that the claim was submitted on 10 January 2026 and filed on 12 January 2026, with fees paid of 811.84.
